Terms of Use
Last updated: 28 Oct 2026. Applies to www.bymarkit.com and app.bymarkit.com.
1. About these Terms
These Terms of Use (“Terms”) govern your use of the websites www.bymarkit.com and app.bymarkit.com, the factory registration form, the Founding Vendor offer page and the MARKIT marketplace (together, the “Platform”). The Platform is operated by Markit FZC LLC, Business Center, Sharjah Publishing City Free Zone, Sharjah, United Arab Emirates (“MARKIT”, “we”, “us”).
By registering, creating an account or using the Platform you agree to these Terms. If you act for a company, you confirm that you have authority to bind it. If you do not agree, please do not use the Platform.
The Platform is for businesses and professionals only. It is not intended for consumers.
2. Key terms
- Buyer: a business or professional, such as an architect, interior designer, developer, hotel group or fit-out contractor, that uses the Platform to find products and request quotes.
- Vendor: a manufacturer that lists products and responds to requests on the Platform.
- Content: catalogues, product information, images, drawings, prices, messages and any other material you submit.
- RFQ: a request for quotation sent by a Buyer to one or more Vendors.
- Order Terms: the specific terms shown on the Platform for a quote, purchase order or project.
- Founding Vendor Offer: the introductory offer described in section 7.
- Payment Service: the service through which MARKIT collects a Buyer’s payment and releases it to the Vendor, provided with a licensed payment and escrow partner (the “Payment Partner”).
- Payment Terms: the MARKIT Payment Terms published on the Platform.
3. Registering your interest and creating an account
Registering your interest is free and does not create a contract to sell or to pay. When you register, you confirm that the details you give are correct and that you may share them for your company.
To join MARKIT, you complete your account. We send you an email with a link to confirm your address and complete your account, and one reminder if you have not completed it.
Review and verification. MARKIT reviews every factory before it can list on the Platform. We may ask for documents and evidence, such as a business licence, company registration, factory photos or a video tour, product samples, certificates and export references. MARKIT may decline, suspend or remove a registration or account at its discretion. Verification means that we checked certain information. It is not a guarantee, certification or endorsement of any company, product or quality.
Your account. You must keep your login details secure, keep your information accurate and up to date, and tell us promptly if you suspect unauthorised use. You are responsible for all activity under your account. Each company should hold one account unless we agree otherwise.
4. What MARKIT does and does not do
MARKIT provides an online marketplace and coordination layer where Buyers can discover suppliers and products, configure requirements, compare quotes and place orders. Where offered, we may also coordinate orders, arrange or coordinate quality inspections, and provide document management and project tracking.
MARKIT does not manufacture, stock or sell the products listed on the Platform. Unless the Order Terms say otherwise, any contract for the sale of products is between the Buyer and the Vendor, on the terms agreed through the Platform, and the Vendor is the seller. For orders placed through the Platform, the Buyer pays MARKIT through the Payment Service, and MARKIT releases the payment to the Vendor under the Payment Terms. MARKIT collects and releases payment as a payment administrator and does not become the seller of the products. The Order Terms set out the rules for quotes, purchase orders, inspection and delivery for each transaction, and the Payment Terms set out the rules for payment. If these Terms and the Order Terms conflict, the Order Terms apply to that transaction, except that the Payment Terms prevail on payment.
MARKIT does not guarantee any orders, volumes, revenue or the availability of Buyers or Vendors. Nothing in these Terms creates a partnership, joint venture, employment or agency relationship between MARKIT and any user.
5. Terms for Vendors
If you list products on the Platform, you agree that:
- Accurate listings. Product specifications, materials, dimensions, finishes, prices, minimum order quantities, lead times and certifications are accurate and kept up to date.
- Your rights. You own, or have a licence to use, all Content you submit, including images, designs and trademarks, and it does not infringe anyone’s rights.
- Quotes and orders. A quote is binding for the period it states. You will fulfil accepted purchase orders to the agreed specification, quality and lead time.
- Compliance. You will comply with all laws that apply to making, labelling, packing, exporting and selling your products, including product safety, customs, export control, sanctions and anti-bribery rules, and you will provide the documents the destination requires.
- Inspections. You will allow quality inspections as set out in the Order Terms.
- No circumvention. For twelve (12) months after a Buyer is first introduced to you through the Platform, you will not use that introduction to complete transactions outside the Platform in order to avoid fees. For orders placed through the Platform, you will accept payment only through the Payment Service and will not ask a Buyer to pay you outside the Platform.
- Manufacturers. The Platform is intended for manufacturers. Trading companies may register their interest and are reviewed separately.
6. Terms for Buyers
If you use the Platform to find products, you agree that:
- Your RFQs are genuine, accurate and sent in good faith.
- You will pay for accepted orders through the Payment Service, as set out in the Payment Terms and the Order Terms, and you will not pay the Vendor directly for orders placed through the Platform.
- You will keep Vendors’ pricing, catalogues and technical information confidential and use them only for the purpose they were shared.
- You are responsible for import rules, customs, conformity requirements and taxes in your own country.
7. The Founding Vendor Offer
The Founding Vendor Offer is limited to the first 50 verified manufacturers to join MARKIT. If you qualify, you receive:
- 3 months free on your subscription, starting when you subscribe.
- 30% off your subscription plan for months 4 to 12. The standard price applies from month 13.
- Founding Vendor badge and priority placement in the launch catalogue and in buyer search and RFQ matching for 6 months.
- Free catalogue setup: our team uploads and formats your first 20 products.
The offer is subject to successful verification and to these Terms. It has no cash value and cannot be transferred. The standard commission on completed projects applies throughout. MARKIT may close the offer once 50 verified manufacturers have joined. We may withdraw offer benefits if an account breaches these Terms. Full details, including your plan and commission, are confirmed at onboarding.
8. Fees, taxes and payment
- Registration is free. We never ask for card or bank details on the registration form.
- Vendor subscriptions are currently USD 299 to USD 599 per month, depending on the plan. Buyer subscriptions are currently USD 99 to USD 199 per month, depending on the plan.
- Commission is 10% of the project value on completed projects, calculated as set out in the Order Terms. Unless the plan or Order Terms say otherwise, the Vendor pays it, and MARKIT deducts it from the amounts it releases to the Vendor.
- Fees are quoted in US dollars and exclude VAT, withholding and other taxes, which you are responsible for where they apply.
- We may change our prices with at least 30 days’ notice. Changes do not affect a period you have already paid for.
- Payments are processed by third-party payment providers. Fees are non-refundable unless the Order Terms or applicable law say otherwise.
Payments through MARKIT. For orders placed through the Platform, the Buyer pays the full order value to MARKIT through the Payment Service. MARKIT then releases the money to the Vendor in stages: 30% when the order is confirmed, 70% minus a holdback of 5% to 10% after shipment is verified and the shipping documents are checked, and the holdback after the Buyer accepts the delivery or the acceptance period ends. Funds are held by the Payment Partner, not in MARKIT’s operating account. MARKIT is not a bank and pays no interest on funds held. Buyers and Vendors must complete identity and company checks before the first payment or payout, and MARKIT or the Payment Partner may delay, hold or refuse a payment if a check fails, if fraud or a sanctions risk is suspected, or if the law requires it. The Payment Terms set out the full process, including disputes, cancellations and refunds.
9. Content and intellectual property
Your Content. You keep ownership of your Content. You grant MARKIT a non-exclusive, worldwide, royalty-free licence to host, display, reproduce, resize, translate and format it so we can operate the Platform, and to promote the Platform, for example by showing your catalogue or Founding Vendor status. You can ask us in writing to stop promotional use.
Our rights. The Platform, its software, design, text and the MARKIT name and logo belong to MARKIT or its licensors. We give you a limited, revocable, non-transferable right to use the Platform for its intended purpose. You may not copy, scrape, reverse engineer or resell it.
Feedback. If you give us suggestions, we may use them without obligation to you.
Infringement. If you believe Content on the Platform infringes your rights, email us at [email protected] with details and we will review it.
10. Acceptable use
You may not use the Platform to:
- break any law or sanctions, or sell counterfeit, unsafe or unlawful goods;
- give false, misleading or fraudulent information, or impersonate anyone;
- scrape or harvest data, or use bots or automated tools without our written permission;
- send spam or unsolicited promotions to other users;
- interfere with, probe or bypass the security or operation of the Platform;
- upload malware or harmful code;
- harass or abuse other users or our team.
11. Communications
We send you service emails, such as the email to confirm your address and complete your account, one reminder, and notices about your account and transactions. We may send marketing messages by email or by messaging apps such as WeChat or WhatsApp where you have given us that contact detail for this purpose. You can opt out of marketing at any time.
12. Privacy
Our Privacy Policy at https://app.bymarkit.com/en/privacy explains what personal data we collect, how we use and protect it, how long we keep it, and how to ask for deletion. It forms part of these Terms.
13. Third-party services and links
The Platform may link to or work with third-party services, such as payment, inspection or logistics providers. We do not control them and are not responsible for their content, terms or conduct.
14. Availability and early-stage features
MARKIT is in an early stage. Features, including the Vendor Portal, may change, be delayed or be withdrawn. We try to keep the Platform available but do not promise uninterrupted or error-free service, and we may suspend it for maintenance or security.
15. Disclaimers
To the extent the law allows, the Platform is provided “as is” and “as available”. MARKIT does not warrant the quality, safety, legality, delivery or fitness for purpose of any product, or the accuracy of any listing, RFQ or other user Content. Inspections and verification reduce risk but do not remove it. Disputes about products, payment or delivery are between the Buyer and the Vendor, except where the Order Terms or the Payment Terms give MARKIT a specific role, such as holding and releasing payment.
16. Limitation of liability
Nothing in these Terms limits liability that cannot be limited by law. To the extent the law allows:
- MARKIT is not liable for indirect or consequential loss, or for loss of profit, revenue, business, data or goodwill; and
- MARKIT’s total liability to you for all claims arising from the Platform is limited to the greater of the fees you paid to MARKIT in the twelve (12) months before the event and USD 1,000.
17. Indemnity
You will compensate MARKIT for losses, claims and reasonable costs arising from your breach of these Terms, your Content, or your products and the way you make, describe, supply or export them.
18. Suspension and termination
You can stop using the Platform and close your account at any time by emailing [email protected]. We may suspend or end your access immediately if you breach these Terms, create risk or legal exposure for MARKIT or other users, or fail to pay. Termination does not affect rights and amounts that arose before it. Sections that by their nature should continue, including sections 5, 8, 9, 15, 16, 17 and 20, remain in force.
19. Changes to these Terms
We may update these Terms. We will post the new version with a new date and, for material changes, notify you by email or on the Platform at least 14 days before they apply. If you keep using the Platform after the change takes effect, you accept the new Terms.
20. Governing law and disputes
These Terms and any dispute arising from them are governed by the laws of the United Arab Emirates, as applied in the Emirate of Sharjah. The parties will first try to resolve any dispute through good-faith discussions for 30 days. If it is not resolved, the dispute will be finally settled by arbitration under the rules of the Sharjah International Commercial Arbitration Centre (Tahkeem), seated in Sharjah, United Arab Emirates, in English, by one (1) arbitrator. Nothing prevents either party from seeking urgent court relief to protect its rights.
21. General
- Entire agreement. These Terms, the Privacy Policy, the Payment Terms and any Order Terms are the whole agreement between you and MARKIT about the Platform.
- Severability and waiver. If a provision is unenforceable, the rest continues. A delay in enforcing a right is not a waiver.
- Assignment. You may not transfer your rights without our written consent. MARKIT may assign these Terms to an affiliate or a successor to its business.
- Events beyond control. Neither party is liable for delay caused by events outside its reasonable control.
- Language. The English version prevails. Arabic, Turkish and Chinese versions are provided for convenience.
- Notices. We may give notice by email or on the Platform. Send notices to us at [email protected].
